Inkomoko issues a call for tenders for the selection of legal advisory services in the field of financial services and compliance, Chad
Background and Objective
Inkomoko is present in Chad, Ethiopia, Kenya, Rwanda, and South Sudan. A core component of Inkomoko’s mission is to expand access to inclusive financing for micro and small enterprises, particularly those led by refugees and host community members.
Inkomoko is registered as a Non-Governmental Organization (NGO) in Chad and is in the process of establishing lending operations for entrepreneurs, including women, youth, and refugees. To support this process, Inkomoko seeks the services of a qualified legal or advisory firm with deep expertise in financial services regulation to guide the organization on viable legal pathways to deliver financial services within the regulatory framework of Chad.
The objective of this consultancy is to review Inkomoko’s plans to lend through the relevant laws of Chad, providing guidance on possible risks and solutions to Inkomoko’s proposed approach, and to effectuate the necessary steps to implement the agreed upon strategy.
This is a deliverable-based engagement, with payments made upon approval of each submitted deliverable (see Section 3).
2. Scope of Work
The selected firm will provide services in the following areas:
A. Legal Framework & Compliance
- Provide legal review and revision of the draft MOU with partner financial institutions to ensure compliance with Chadian law.
- Outline potential legal models for lending and access to finance under Inkomoko’s NGO status, including partnership structures.
B. Financial Services Models
Provide legal guidance on alternative or complementary financing models, including Village Savings and Loan Associations (VSLAs) and community lending groups, or digital or mobile-enabled lending.
C. Legal Representation
Represent Inkomoko Chad in engagements with government regulatory authorities or financial partners, where necessary and formally mandated to implement the agreed upon strategy.
3. Deliverables
The selected firm will provide:
- A comprehensive legal advisory memo/report outlining the full range of options available for Inkomoko to provide investment funds to clients, including the pros and cons of each option and estimated timelines for implementation.
- Legal and procedural support or other regulatory requirements necessary to make financing available to clients.
- Drafts of MOUs and any other required legal documents to enable Inkomoko to achieve its mission.
4. Duration
The contract will be valid for a period of six (6) months, with the possibility of extension based on performance, operational needs, and availability of funds.
5. Reporting
The selected firm will report to the Country Managing Director and the Country Head of Investment. Regular check-ins will be scheduled as needed to review progress, seek clarifications, and approve deliverables.
6. Eligibility & Qualifications
The applying legal or advisory firm must:
- Have at least 5 years of experience in financial services regulation and banking law in Chad.
- Be licensed and authorized to operate in Chad and able to provide registration documents to that effect.
- Demonstrate prior experience working with registering financial institutions or MFIs
- Have bilingual capacity in French and English (spoken and written).
7. Confidentiality & Conflict of Interest
The selected firm will be required to sign a confidentiality agreement.
Firms must disclose any potential conflicts of interest in their application, especially related to partnerships with financial institutions or regulatory authorities.
