Consultant – Finance Division, Legal Services Department

 

The General Counsel and Legal Services Department (PGCL) provides legal services to the statutory organs of the Bank and the Fund and advises on the administration, operations and financial activities of the Bank. PGCL also ensures that the Bank’s activities and operations are consistent with the constitutive documents and other legal instruments of the Bank, its policies, the relevant norms and principles of international and commercial law, and the best practices of international development banking. The Finance Division’s (PGCL.3) main activities are to provide legal services primarily to organisational units in the Finance Vice-Presidency including the Treasury, Financial Control, Financial Management and Resource Mobilization Departments, and to other organisational units. It ensures that the Bank has at its disposal the best available legal expertise in the mobilization, investment and management of the financial resources of the Bank, in order to fulfill its mandate, in accordance with its constitutive instruments and the norms of international development banking :

3 is seeking a legal consultant who will work under the direct supervision of the Division Manager.

The Consultant will be expected to :

  1. Prepare documentation for the Bank’s borrowings in the international capital markets in collaboration with dealers and external counsel ;
  2. Prepare documentation for the Bank’s derivatives and other risk management transactions, negotiate relevant master agreements, draft and review individual transaction documents ;
  3. Advise on contracts for the investment of the liquid assets of the Bank ;
  4. Review, revise and recommend for approval global clearing, custody, execution, and repurchase agreements to facilitate the Bank’s investment and risk management ;
  5. Advise on corporate and finance legal issues arising from the interpretation and application of the Bank’s charter ;
  6. Draft legal documents concerning membership and participation in the Bank and the African Development Fund and creation of special funds ;
  7. Interpret and apply the Financial Regulations of the Bank ;
  8. Participate in working group meetings of the Asset Liability Management Committee ;
  9. Prepare draft legal opinions on proposed financial transactions ;
  10. Advise on finance aspects of lending transactions, including the development of new lending products, as necessary ;
  11. Advice on financial policy issues as necessary; and
  12. Such other tasks as may be assigned by the Division Manager or the General Counsel

The Consultant should have the following qualifications :

  • At least a) a Master’s degree in Law, or b) a first university degree plus a relevant combination of academic qualification in Law (e.g. Juris Doctor (JD)) and admission to the Bar of (or diploma to practice law in) a member country of the Bank ;
  • At least 5 years of relevant professional experience with an established law firm or an international financial institution, with in-depth experience in major international financial transactions ;
  • Good written and oral skills in French or English with a good working knowledge of the other language and IT Competence in the use of standard software such as MSWord, Power Point and Excel.

Consultants will be evaluated based on the following criteria :

  • General qualifications and suitability for the assignment – 40% ;
  • Relevant experience (law firms, financial institutions, multi-lateral development banks or other) – 50% ;
  • Language (English and French) and familiarity with office software – 10%.

The estimated duration of services is six (6) months renewable (conditioned on continued need for services and availability of budget) from the date of assumption of duties and the estimated starting date is December 15, 2020 or sooner.
