Job Description

Our TOTAL SOLAR INTERNATIONAL hub in Dubai is seeking a Senior Legal Counsel to join our growing Middle East operations.
Based in Dubai and within the regional team, you will provide legal advice and assistance to Total Solar International Business Unit in Middle East and in particular to the multidisciplinary teams in charge of the development, investment, support to the construction phase and the operation phase of renewable projects (mainly IPP).

Responsibilities
Your main responsibilities will be to:
1. anticipate the risks and legal needs, alert, advise and propose appropriate solutions;
2. write and negotiate a wide range of contracts (confidentiality agreements, letters of intent; “MOU”, partnership agreements; shareholders agreements, EPC contracts, O&M agreements; land agreements, acquisition and sale of assets, share purchase agreements, project finance agreements…) and participate actively  in their negotiation;
3. prepare the legal documentation for the response to calls for tenders for renewable projects and follow the legal aspects of such projects once awarded (creation or participation in joint ventures, implementation of agreements…);
4. conduct legal studies and provide legal opinions;
5. support the construction teams and the asset management teams;
6. analyze and interpret new regulations within the Region and contributes to an appropriate spread of information;
7. coordinate and supervise the work of the external law firms with applying the legal group policies related to the choice of law firms;
8. support in the incorporation and establishments of project companies and affiliate in the region;
9. follow the litigation files (if any) associated with the portfolio of projects;
10. Contributes to the legal reporting of Total Solar International in coordination with Total Solar International’s General Counsel;
11. Contribute to the development of training and guidelines to operational teams
12. under the supervision of Total Solar International’s General Counsel, participate to the implementation and evolution of Total Solar International contractual policy and the standardization of contractual documents.
13. Ensure compliance with Group corporate policies applicable within your field of responsibility

Part of the Group’s position in the field of the renewable energies and its commitment to control global warming, Total Solar International business is materialized by the emergence of an important   number of commercial, technical and industrial developments large scale projects worldwide as well as by the acquisition and the sale of equity interests. This orientation requires a strong legal support.

Candidate profile

Postgraduate degree in business law with ideally a double qualification (Civil and Common Law).
Minimum 5 to 7 years’ experience in a generalist position with good knowledge of the Middle-East IPP Power and Renewable projects
Experience in transversal project management desirable as well as in working within a multinational company.
Pragmatic, you will have to be attentive; flexible and must be able to adapt quickly to the context and to complex and varied situations. An excellent sense of initiative and strong interpersonal skills are required as you will frequently collaborate with peers in other teams across the Total group in Middle-East, Paris and internationally (working in teams/project mode with the operational people as well as the other lawyers of Total Solar International, Total Renewables and the Group).
Languages : English required  (French would be a “nice to have”).
