About the Job Dimensions 

Legal services provide effective legal advice & support across all areas of the UK M&S business, including contracts, joint ventures, acquisitions/disposals and disputes, compliance, including competition law and anti-bribery, company secretarial duties.
One direct report: Company Secretarial and Legal Assistant.

About the Activities   

Legal

  • Advise internal clients in areas such as Health and Safety Law, Engineering Construction Law, Commercial law, Distribution law, environmental law and Company law.
  • Develop legal and statutory awareness of staff by training seminars, Newsletters, personal contact etc.
  • Audit to check compliance with statutory obligations, including joint venture companies and to make recommendations to ensure that the necessary actions are taken.
  • Evaluate and advise on environmental liabilities on land owned or operated by the Company.
  • Advise the Directors and staff of TUKL and provide specialised expertise in negotiations with claims from third parties.
  • Ensure the Company received timely and practical legal advice and support across the whole range of legal issues which arise in the company’s business, engaging outside Counsel and other experts where necessary and liaising with Group legal to ensure group legal policy is implemented.
  • Managing external legal advisors in connection with disputes or projects.
  • Ensuring legal compliance including HS&E, competition law and company law.
  • Liaising with Regulators (ICO, HSE, EA etc).
  • Advising the board of directors as to their statutory obligations and potential liabilities.
  • Ensuring the companies statutory accounts and those of the other associated companies that company secretarial duties are provided for are filed in line with statutory requirements.
  • Review, draft and negotiate commercial contracts arising out or in connection with the business.
  • Advise on capital investment projects e.g. engineering contracts for capital projects.
  • Advising on the interpretation of legislation affecting the business and implementation of measures in response to any relevant new legislation.

Data Privacy Liaison Officer for TUK

  • Registered Data Protection Officer with the ICO and the Data Privacy Liaison Officer.

Company Secretary

  • Registered company secretary at Companies House for all MS branch UK subsidiaries and responsible for providing associated company secretarial services / compliance. Approved signatory and correspondent with Companies House.

TUK employs ~ 220 employees, has 4 sites (including a Bitumen Manufacturing, a Lubricants Blending plant, and EV Charge Point operations).

  • Legislation varies constantly and new rules become enforceable.
  • Difficult economic environment increases number of claims against the company.
  • High external lawyers’ fees require constant management to avoid unnecessary costs.
  • Similar services are provided for 2 smaller group businesses.

Candidate profile

About the Accountabilities

  • Mentor and train junior members of the legal department and wider business.
  • Provide high quality legal services across the business. Advice must be practical, commercial, timely and cost effective. It must be solution oriented.
  • Ensure TUK is able to achieve its commercial objectives in compliance with laws and regulations.
  • Properly anticipate, manage and minimise legal risks.
  • Ensure proper co-ordination between individuals within the company and within the wider group so that “legal policy” within the company and the wider group is applied consistently and coherently.
  • Efficiently manage a portfolio of different legal files and other demands of the business, the Legal Department and corporate matters.
  • Monitor, inform and advise upon the rapidly changing legal environment within which the company operates.
  • Ensure TUK is compliant with GDPR and wider data protection legislation and Group anti-corruption policy.

In relation to Health, Safety and the environment you have duty to take reasonable care of yourself and of other persons who may be affected by your acts or omissions at work, this means following company rules, training and instruction as necessary, to actively participate in achieving HSE goals and objectives and report any unsafe acts or hazardous conditions and take proactive steps where possible to prevent loss or damage.

About the Candidate

  • 5-10 years post Qualified lawyer or solicitor with authority to practice in England & Wales ;
  • Commercial Legal acumen, ideally gained in the Energy or Chemical industry ;
  • Experience of dealing with environments where Health & Safety implications are significant (e.g. trade of hazardous products) ;
  • Excellent negotiating & influencing skills, able to communication at all levels of an organization ;
  • Flexible, proactive, objective with the ability to drive change ;
  • Confidence and good presentation skills – willingness and ability to lead ;
  • Excellent problem solving skills and the ability to remain calm and focused under pressure.
